1. Definitions and interpretation
In these Terms and Conditions:
- “Korb”, “we”, “us”, “our” means Korb Pty Ltd (ABN 26 159 533 454).
- “Customer”, “you”, “your” means the person, company, or entity purchasing Goods and/or Services from Korb.
- “Goods” means tactile ground surface indicators, stair nosings, entry matting systems, metalworks (bollards, bike racks, custom fabrications), and any other products supplied by Korb.
- “Services” means installation, site inspection, project coordination, and any other services provided by Korb.
- “Order” means a purchase order, written instruction, or accepted quotation for the supply of Goods and/or Services.
- “Quotation” means a written proposal issued by Korb for the supply of Goods and/or Services.
2. Scope of supply
Korb provides building access and compliance products through the following supply models:
- Supply only: Korb manufactures and delivers Goods to your nominated delivery address. You are responsible for installation.
- Supply and install: Korb manufactures, delivers, and installs Goods at the project site. Installation is performed by Korb’s trained teams or approved subcontractors.
The scope of supply for each Order will be clearly stated in the applicable Quotation or Order confirmation.
3. Quotations
- Unless otherwise stated, Quotations are valid for 30 days from the date of issue.
- Quotations are subject to change based on material costs, site conditions, or scope variations identified after the Quotation date.
- A Quotation does not constitute an offer capable of acceptance. An Order is formed only when Korb issues a written Order confirmation or sales order.
- Quotations for installation work are subject to a satisfactory site inspection. Where site conditions differ from information provided at the time of quoting, Korb reserves the right to revise the Quotation.
4. Orders and acceptance
- An Order is accepted when Korb issues a written sales order confirmation or commences manufacture of the Goods.
- Korb reserves the right to decline any Order at its discretion.
- Once accepted, an Order may only be cancelled or varied with Korb’s written consent. Cancellation fees may apply to cover materials already ordered, manufactured, or allocated.
- Variations to an accepted Order must be agreed in writing and may result in adjustments to price and delivery timelines.
5. Pricing and GST
- All prices quoted are in Australian dollars and are exclusive of GST unless expressly stated otherwise.
- GST will be added at the applicable rate on all tax invoices in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
- Prices are based on current material costs and may be subject to adjustment if there is a significant change in raw material, manufacturing, or transport costs between the Quotation date and the date of delivery.
- Where a Quotation specifies “budget pricing” or “estimate”, the final price may vary based on actual quantities and site conditions.
6. Payment terms
- Approved accounts: Net 30 days from end of month of invoice, unless alternative terms have been agreed in writing.
- New customers without approved credit: payment in full prior to dispatch (COD or prepayment).
- Korb reserves the right to require deposits, progress payments, or full prepayment for large or custom orders.
- Overdue invoices will accrue interest at the rate of 2% per month (compounding monthly) on the outstanding balance from the due date until the date of payment.
- All costs of debt recovery, including legal fees, collection agency fees, and associated expenses, shall be borne by the Customer.
Credit card payments
- A surcharge of 2.5% applies to payments made by credit card.
- The credit card surcharge is waived if the invoice is paid within 7 days of the invoice date.
7. Delivery
- Delivery dates are estimates only and are not guaranteed. Korb will use reasonable endeavours to meet quoted delivery timelines.
- Shipping and freight costs are additional to the quoted price of Goods unless expressly included in the Quotation. Freight quotes are valid at the time of quoting and may be subject to adjustment.
- Risk in the Goods passes to the Customer upon delivery to the nominated delivery address (or upon collection if the Customer arranges their own transport).
- Title in the Goods remains with Korb until payment has been received in full. Until title passes, the Customer holds the Goods as bailee for Korb.
- The Customer must inspect Goods upon delivery and notify Korb of any damage, defects, or shortages within 48 hours of delivery. Failure to notify within this period constitutes acceptance of the Goods as delivered.
- Korb is not liable for any delay in delivery caused by circumstances beyond our reasonable control.
8. Installation
Where Korb provides installation Services:
- Installation is subject to a satisfactory site inspection. Korb may decline to proceed with installation if site conditions are unsafe, unsuitable, or materially different from the information provided at the time of quoting.
- Additional charges may apply for unforeseen site conditions, including but not limited to: subsurface obstructions, structural deficiencies, asbestos or hazardous materials, inadequate curing of substrates, or changes to the scope of work.
- The Customer must provide safe, clear, and unobstructed access to the installation area, including adequate lighting, power supply, and protection of adjacent surfaces where required.
- The Customer is responsible for obtaining all necessary permits, approvals, and consents required for the installation works.
- The installation site must be free of other trades during the installation period unless otherwise agreed in writing.
- Korb will make good any damage caused directly by our installation activities, but is not responsible for pre-existing damage or defects in the substrate.
9. Product warranty
- All Goods are covered by a product warranty as specified in the applicable Product Data Sheet (PDS). Standard warranty periods are published on our Warranty page.
- The product warranty covers defects in materials and manufacturing workmanship under normal use and conditions.
- The product warranty does not cover damage or failure resulting from:
- Improper installation (where Korb did not perform the installation)
- Misuse, abuse, neglect, or accidental damage
- Modification or alteration of the Goods without Korb’s written approval
- Use of the Goods for purposes other than their intended application
- Normal wear and tear
- Exposure to conditions outside the product’s specified operating environment
- Failure to follow Korb’s care and maintenance instructions
- Warranty claims must be submitted in writing to info@korb.au with photographs, a description of the defect, and the original order reference.
Installation workmanship warranty
- Where Korb performs the installation, a 12-month workmanship warranty applies from the date of completion of installation.
- The workmanship warranty covers defects in the installation process (e.g., adhesion failure, incorrect placement). It does not cover damage caused by subsequent building works, impacts, or substrate movement.
10. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
To the extent permitted by law, Korb’s liability for breach of any implied condition or warranty that cannot be excluded is limited, at Korb’s option, to one or more of the following:
- Replacement of the Goods or supply of equivalent goods
- Repair of the Goods
- Payment of the cost of replacing the Goods or acquiring equivalent goods
- Payment of the cost of having the Goods repaired
11. Limitation of liability
- To the maximum extent permitted by law, Korb’s total liability to the Customer under or in connection with any Order (whether in contract, tort, under statute, or otherwise) is limited to the total amount paid by the Customer under that Order.
- Korb is not liable for any indirect, consequential, or special loss or damage, including but not limited to loss of profit, loss of revenue, loss of opportunity, loss of data, business interruption, or delay costs, however arising.
- Korb is not liable for any loss or damage arising from the Customer’s failure to comply with applicable building codes, standards, or regulations.
12. Returns and refunds
- Returns of non-defective Goods are accepted only with Korb’s prior written approval.
- Goods must be returned in their original, unused, and undamaged condition, in original packaging.
- A restocking fee of up to 25% of the invoiced value may apply to approved returns.
- Custom-manufactured, cut-to-size, or specially ordered Goods are not eligible for return.
- Freight costs for returns are the Customer’s responsibility unless the return is due to a Korb error or defect.
13. Security of Payment
Where applicable, the Building & Construction Industry Security of Payment Act 2002 (Vic) (and equivalent legislation in other Australian states and territories) applies to construction work and related goods and services supplied by Korb. Korb reserves all rights under the applicable Security of Payment legislation, including the right to:
- Make progress claims and payment claims in accordance with the Act
- Pursue adjudication of disputed payment claims
- Suspend work in the event of non-payment in accordance with the Act
The Customer acknowledges the operation of the applicable Security of Payment legislation and agrees not to contract out of its provisions.
14. Intellectual property
All intellectual property in Korb’s products, designs, specifications, drawings, technical data, and marketing materials remains the property of Korb. The Customer must not reproduce, reverse engineer, or use Korb’s intellectual property for any purpose other than the intended use of the Goods supplied.
15. Confidentiality
Each party agrees to keep confidential all pricing, technical, and commercial information received from the other party, and not to disclose it to any third party without prior written consent, except as required by law or to the extent necessary for the performance of an Order.
16. Force majeure
Korb is not liable for any failure or delay in performing its obligations under an Order where such failure or delay results from circumstances beyond Korb’s reasonable control, including but not limited to: natural disasters, pandemics, epidemics, government restrictions or sanctions, industrial disputes, shortages of materials or labour, transport disruptions, power failures, fire, flood, or acts of war or terrorism.
If a force majeure event continues for more than 90 days, either party may terminate the affected Order by written notice without liability.
17. Governing law and jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Victoria, Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia, and any courts of appeal from those courts.
18. Dispute resolution
In the event of a dispute arising out of or in connection with these Terms or any Order:
- Negotiation: the parties will first attempt to resolve the dispute by good faith negotiation within 14 days of written notice of the dispute.
- Mediation: if the dispute is not resolved by negotiation, the parties will submit the dispute to mediation administered by the Resolution Institute (or its successor body) in Melbourne, Victoria. The costs of mediation will be shared equally.
- Litigation: if the dispute is not resolved by mediation within 30 days of referral, either party may commence proceedings in the courts of Victoria.
Nothing in this clause prevents a party from seeking urgent interlocutory relief.
19. General provisions
- Entire agreement: these Terms, together with any Quotation and Order confirmation, constitute the entire agreement between the parties in relation to the supply of Goods and/or Services. Any prior representations, warranties, or agreements (whether written or oral) are superseded.
- Severability: if any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect.
- Waiver: a failure or delay by Korb in exercising any right under these Terms does not constitute a waiver of that right.
- Assignment: the Customer must not assign or transfer any rights or obligations under an Order without Korb’s prior written consent.
- Notices: any notice under these Terms must be in writing and may be delivered by email, post, or hand delivery to the addresses specified in the Order.
20. Changes to these terms
Korb may update these Terms and Conditions from time to time. The current version will be published on this page with a revised “Last updated” date. Changes will apply to Orders placed after the date of publication.
